Human Academy Japanese Personal Learning Terms and Conditions

Chapter 1: General Provisions
Article 1: Application of these Terms and Conditions
1. These terms and conditions shall apply to the usage of all services (hereinafter, “these services”), provided by Human Academy Co., Ltd. (hereinafter, “Human Academy”) for the operation of the Japanese Personal Learning though the internet, to the users as defined in Article 5 (hereinafter, “users”).
2. Sales agents (corporations) that have a sales agent contract with Human Academy may act as an agent or proxy for some of the actions, rights, and obligations of Human Academy, as defined below.
3. Persons applying for these services (hereinafter, “applicants”), and users, shall be considered to have agreed to these terms and conditions either upon application to these services, or initial use of these services, whichever comes first.

Article 2: Notification to Users
1. Human Academy shall maintain a status of notifying or making inquiries to the users about necessary items related to these terms and conditions as needed, through the internet, or any other method determined to be appropriate by Human Academy.
2. The notifications defined in the preceding paragraph shall become valid from the time when the notification is given by Human Academy under the provisions of the preceding paragraph.

Article 3: Changes in the Terms and Conditions
1. Human Academy may change these terms and conditions without prior notification. In this event, the usage conditions for these services shall be subject to the changed terms and conditions.
2. After a change, Human Academy shall notify the user in accordance with the provisions of the preceding paragraph, and at the time of the notification the user is considered to have agreed to the content of the notification.

Article 4: Scope of these Terms and Conditions
1. If Human Academy establishes separate service provisions, or additional provisions, and goes through the provisions defined in Article 2, the applicable provisions shall form part of these terms and conditions.
2. In the event that the separate service provisions or additional provisions differ from these terms and conditions, the separate service provisions and additional provisions shall take precedence.


Chapter 2: Users
Article 5: Users
1. A user is a person for whom any of the following applies.
 a. A person who has applied to Human Academy for usage of these services, and been approved.
 b. A person who has been approved for the usage of these services through a method separately determined by Human Academy.

Article 6: Usage Approval and Disapproval
1. Users shall be considered to have applied for the usage of these services, and consenting to the course fees, course period, provision of conditions, etc., upon submitting an application after inputting the necessary items in Human Academy’s prescribed application form, or upon inputting the items necessary for application for the usage of these services provided by Human Academy on the internet, and on the screen to confirm the inputted content, pressing (clicking) the button that confirms the inputted content (ex: “Proceed with Application Procedures”, “Apply with this Content”, etc.).
2. If there is a usage application from the preceding paragraph, Human Academy shall consider the application accepted upon receiving a complete application, or upon the display of the screen indicating consent, and the contract regarding usage of these services, including the course fees, course period, and provision conditions of these terms and conditions, shall be concluded.
3. Human Academy may disapprove an applicant’s usage after the acceptance in the previous paragraph, if it is discovered that any of the following items is applicable to the user.
 a. The applicant does not actually exist.
 b. The applicant is already a user.
 c. The applicant has committed a violation of these terms and conditions in the past.
 d. If there are false statements, erroneous entries, or omissions in the declared items in applying for usage.
 e. The usage applicant is a minor, an adult ward, a person under conservatorship, or a person under assistance, and consent for the application procedure was not obtained from a legal representative, conservator, or limited guardian.
 f. Other usage applicants that Human Academy deems to be unsuitable.
4. The usage applicant shall bear the course fees for usage of these services by the applicant for the period until Human Academy disapproves usage in accordance with the preceding paragraph.
  
Article 7: Issuance of ID and Password
If the usage applicant’s usage has been approved, Human Academy will issue an ID and a password to the user. Multiple IDs and passwords may be issued depending on the service content.

Article 8: Usage Qualification
Users who have acquired the ID and password from the previous article shall at the same time acquire the rights and qualifications (hereinafter, “usage qualification”) to receive this service.

Article 9: Prohibition of Transfer
The user must not transfer the rights held by the user (including buying and selling, as well as changing the name) to a third party, and is prohibited from acts such as setting pledges, and other provision of collateral.

Article 10: Notification of Change
1. If there is any change in the notification content to Human Academy, the user shall notify Human Academy promptly by the methods prescribed by Human Academy.
2. Human Academy shall bear no responsibility if the user suffers disadvantages due to not submitting the notification in the previous paragraph.
3. In principle, the user’s first and last name, or corporate name, and date of birth cannot be changed after the usage application. However, this shall not apply for separate cases that Human Academy acknowledges, such as changes in surname due to marriage, or changes in corporate names.

Article 11: Equipment
1. The user shall prepare in advance at their own expense and responsibility all communication equipment, software, applications, and all other equipment necessary in order to use these services, and prepare a status where these services can be used.
2. The user shall connect to these services through the internet at their own expense and responsibility.
3. Downloading the teaching and other materials required for these services is the responsibility of the user, and any damages caused as a result shall be borne by the user.


Chapter 3: Service and Course Fees
Article 12: Service Provision
Human Academy provides these services through the internet. The contents of these services are as attached.

Article 13: Service Course Fees
When using these services, the user shall pay the course fees as specified in the attachment.

Article 14: Permission to Start Service Usage
1. In issuing an ID and password to the user, Human Academy grants usage qualifications for these services to the applicable user, and the user may use these services in accordance with the conditions specified by these terms and conditions.
2. Human Academy shall notify the user of the issuance of the ID and password by email, or another method that Human Academy determines to be appropriate.

Article 15: Service Cancelation
If the user wishes to cancel usage of these services, the user shall submit notification by the method prescribed by Human Academy.

Article 16: Usage Scope
1. The user shall not leak or disclose all information and software (hereinafter, “content”) on the internet or on the system web server that constitutes these services to a third party.
2. The user shall not establish, distribute, sell, transfer, or rent the rights to reuse these services to a third party.
3. The user shall not allow any third party to act in violation of the preceding paragraph.


Chapter 4: User Obligations
Article 17: Responsibility for ID and Password Management
1. The user must not allow a third party to use their own ID or password, or make them usable, and shall assume full responsibility for their usage.
2. Human Academy shall not be liable for any damages incurred by the usage of a user’s ID and password by a third party, regardless of whether the negligence was intentional or not.
3. If the user forgets their own password, or they realize their ID and/or password were stolen, or they realize that a third party is using their info, they must contact Human Academy immediately and follow Human Academy’s instructions.
4. Usage of these services using the user’s ID and password is considered to be performed by the appropriate user, and the user shall be liable for all costs, such as course fees.

Article 18: Principle of Self-Responsibility
1. In the event that the user cannot receive these services due to troubles such as poor internet connection on the user’s side, Human Academy shall bear no liability, with the exception of cases stipulated by these terms and conditions.
2. The user shall be liable for all actions and results in the usage of these services with the user’s ID and password, regardless of whether or not the user performed these actions.
3. If a third party submits a complaint or other notification to Human Academy due to the user’s usage of these services, the user shall process and resolve the issue at their own responsibility and expense.
4. If the user has a request or complaint about a third party’s actions, the user shall directly notify the third party, and the user shall process and resolve the issue at their own responsibility.
5. If damages are caused to Human Academy or a third party due to the usage of these services, the user shall be responsible for the damages at their own responsibility and expense.

Article 19: Other Prohibited Items
1. The user shall not perform the following actions in these services.
 a. Unauthorized usage of the ID and password.
 b. Usage or provision of harmful programs such as computer viruses through these services, or in connection with these services.
 c. Modifying all or part of the contents, or creating derivative works based on the content.
 d. Actions that infringe upon, or may infringe upon the copyrights, trademark rights, or other intellectual property rights of Human Academy, or a third party.
 e. Usage of data, writings, software, or any other information obtained through these services for commercial, business, or profit-based actions.
 f. Actions that infringe upon, or may infringe upon the property, privacy, or likeness rights of Human Academy or a third party.
 g. Any actions that discriminate against or slanders Human Academy or a third party, or damages the honor or credibility of a third party.
 h. Any criminal acts, or actions that may lead to a criminal act.
 i. Sexual, religious, or political activities.
 j. Actions that interfere with the provision or usage of these services by Human Academy or a third party.
 k. In addition to the above items, actions that violate laws, ordinances, these terms and conditions or public order and morals, actions that interfere with the operation of these services (including prostitution, violence, and acts of cruelty), or actions that cause a disadvantage to Human Academy.
 l. Actions that promote actions that correspond to any of the above items.
 m. Other actions that Human Academy determines to be inappropriate.

Article 20: Expiration of Usage Qualification
1. In the event that a user commits a violation of these terms and conditions (including a violation of the items in the previous article), or if any of the reasons specified in Article 32, Paragraph 1 are met, Human Academy may void the user’s usage qualification without prior notice. In this event, the user will lose the profit of the deadline for the entire amount of the obligation under these terms and agreement, and immediately pay to Human Academy.
2. Human Academy shall not be liable for any damages caused due to the user being unable to use these services due to measures taken in the preceding paragraph.

Article 21: ID and Password Cancelation
If the user loses their usage qualification (including but not limited to the previous article), Human Academy can cancel the user’s ID and password at the same time of the usage qualification cancelation.

Article 22: Copyrights
1. The user shall be able to use all of the information or files provided by Human Academy through these services, only by the method provided by these services, and may not use any other method (including but not limited to duplication, distribution, transfer, automatic public transmission, etc.).
2. The user cannot use or publish any information or files provided through these services by a third party in any way without the permission of the rights holder.
3. The user consents to the use of all or part of the intellectual property rights (including but not limited to copyrights, design rights, patent rights, utility model rights, trademark rights, and know-how) information or files uploaded by the user (hereinafter, “user upload info”, including tangible and intangible) on these services to Human Academy voluntarily and without charge, for the purpose of publicity, business introductions, etc., and will not exercise their right to request the display of the name of the user who is the copyright holder, or any other moral rights of the author.
4. The user shall not infringe upon the copyrights or other rights of a third party for the item created by the user as a part of these services.
5. If a dispute occurs that is in violation of the provisions of this article, the user shall resolve the dispute at their own expense and responsibility, Human Academy shall be exempt from liability in all cases, and the user shall not cause damages to Human Academy.

Article 23: Ownership
1. All of the programs, software, services, procedures, trademarks, trade names, or courses that make up these services, and the proprietary rights, intellectual property rights, portrait rights, publicity rights, and other rights of the technologies associated with it shall belong to Human Academy, or a third party licensed to Human Academy.
2. The user agrees that Human Academy provides no guarantee for user upload info, and agrees that Human Academy has the authority to decide whether or not to post the user upload info to a bulletin board, or a site that is composed of these services, and can delete the information or files as necessary. Additionally, the user shall not hold any claim rights to Human Academy regarding the user upload info.
3. The user shall be liable for any damages or disadvantages to Human Academy or any third party in regards to user upload info.

Article 24: Damage Compensation
If a user causes damages to a third party, including Human Academy, due to a violation of these terms and conditions, and prescribed laws and ordinances, the user shall be liable for the damages, and the third party, including Human Academy, must be made exempt.
 
Article 25: Disclaimer
1. Human Academy shall not guarantee the completeness, accuracy, certainty, usefulness, safety regarding security, etc. of the contents of this service and the information obtained by the user through this service.
2. Unless otherwise specified, Human Academy shall not be liable for the provision, delay, change, suspension, cancelation, suspension, or abolishment of these services, the loss of information provided through these services, or any other damages to the user or a third party that is related to these services. However, this will not apply for debt default due to intentional or serious negligence due to Human Academy.


Chapter 5: Cancelation and Suspension
Article 26: Cancelation
1. If the contract is canceled within 8 days, including the application date.
 a. The contract can be unconditionally canceled in writing within 8 days, including the application date, and the document shall take effect when issued (postmarked date).
 b. Payment will not be sought, even if a course was attended.
 c. If we have received payment, we will refund the full amount promptly.
 d. Return fees for materials such as textbooks shall be borne by the user.
 e. Consumable items used individually by users separate from this contract, and reference books, hardware, software, etc. purchased individually by the user will not be returned.
2. Contracts can be canceled after 8 days from the application date, as follows. The contract will be concluded on the cancelation date, and the costs to be borne by the user upon cancelation are as follows.
 a. Contract cancelation before starting courses: 10,800 yen (tax incl.)
 Note: Fee for the conclusion and execution of the contract.
 Note: If one contract includes multiple courses, the term “before starting courses” means that none of the courses have begun.
 Note: If the course has not started, there’s no course start date, and no correction work has been submitted.

 b. Contract cancelation after starting courses: all paid course fees.
3. If the usage fees are paid by credit card, it will be settled according to the loan agreement between the user and the credit card company, based on the settlement agreement between Human Academy and the user (the cost to be incurred is the same as no. 2). However, there may be cases where a divisional fee is charged in accordance with the advance period from the date the loan contract is signed to the credit card company, to the liquidation date.
4. If the contract for the applied course is canceled, if the materials such as textbooks have been opened, damaged, written upon, or stained, the user will pay the teaching material costs as if they have no residual value. Also, consumable items used individually by users, and reference books, hardware, software, etc. purchased by the individual’s intent are not eligible for return.
5. Prescribed documents are necessary for cancelation procedures, and it may not be possible to perform cancelation procedures by phone or email only.
6. Human Academy may send cancelation procedure documents to the user. If there has been a change in address, please be sure to notify Human Academy of the new address during the procedures.
7. Human Academy may contact the user to confirm the content for cancelation procedures. If there has been a change in phone number, please be sure to notify Human Academy of the new phone number during the procedures.

Article 27: Refunds
Human Academy will not issue refunds for paid course fees, with the exception of cases specified in paragraph 2 of the previous article.


Chapter 6: Handling of Personal Information
Article 28: Personal Information
The handling of personal information for these services shall be in accordance with the personal information protection policy defined by Human Academy in the link below.

Article 29: Usage of Personal Information
1. Human Academy shall be able to use the personal information specified in the personal information protection policy for the following purposes.
 a. To provide Human Academy’s services.
 b. To perform business incidental to the provision of Human Academy’s services, such as billing service usage fees.
 c. To investigate and analyze trends in Human Academy’s service usage.
 d. To research and develop new Human Academy services.
2. Human Academy shall not disclose the personal information specified in the preceding paragraph to a third party, except in the following cases.
 a. When the user separately consents to disclosure of personal information.
 b. When handling information jointly, or with a third party, to achieve the usage purpose in the previous paragraph.
 c. When personal information is handed over to a third party as part of business assets through business transfer, spin-off, merger, company split, stock transfer, stock exchange, business transfer, or other M&A.
 d. When personal information is mutually used with a specific third party, and the purpose of use and the specific third party have been previously notified or made public.


Chapter 7: Change, Suspension, or Cancelation of Service Conditions, Content
Article 30: Service Conditions
1. Human Academy monitors the usage of these services in regards to the operation of these services, and if determined to be necessary, Human Academy can limit or suspend user access to these services at their discretion.
2. Human Academy shall be able to delete at its own discretion any writings, etc., that Human Academy deems to be inappropriate on the bulletin board of these services.

Article 31: Change of Service Content
Human Academy may change the content on the name of these services without prior notice to the user.

Article 32: Temporary Suspension of Service
1. Human Academy may temporarily suspend service without prior notice to the user for any of the following reasons.
 a. A problem on the internet occurs, making the internet unusable.
 b. When the internet is no longer available due to a failure in the communication equipment owned by the internet connection service operation that has been entrusted with the internet connection for these services.
 c. The regular or urgent performance of maintenance of equipment for these services.
 d. When these services cannot be provided due to fire, power failure, etc.
 e. When these services cannot be provided due to a natural disaster such as an earthquake, volcanic eruption, flooding, tsunami, etc.
 f. When these services cannot be provided due to war, rebellion, riots, mayhem, and labor disputes.
 g. Other cases where Human Academy determines it necessary to temporarily suspend these services in terms of operation or technology.
2. Human Academy shall not be liable for any damage caused to the user or a third party due to the delay or interruption of the provision of these services due to any of the above items, or other reasons.

Article 33: Cancelation of Service Provision
1. Human Academy may terminate, discontinue, or change the provision of all or part of these services if it is determined that the following are applicable to the user, or the risk thereof.
 a. Violation of one of these terms and conditions.
 b. Any of the reasons specified in each item of Article 6, paragraph 3.
 c. If the user is a member of a gangster organization, organized crime, companies affiliated with gangsters, extortionists, criminals (including those in a situation where they are suspected of committing a crime, such as confessing to a criminal act before a conviction), and other antisocial forces.
 d. If the user dies.
 e. Other cases that Human Academy determines to be necessary.
2. Human Academy may terminate, suspend, or change the provision of all or part of these services after giving prior notice to the user, even if there is no reason as specified in the previous paragraph. However, the prior notice may not apply for emergencies or unavoidable situations.
3. Human Academy shall not be liable for any damages caused to the user or a third party due to the delay or interruption of the provision of these services due to the previous article, or other reasons.


Chapter 8: Other
Article 34: Consultation
In the event of a dispute between the user and Human Academy in regards to these services, the related parties shall hold discussions together in good faith.

Article 35: Exclusive Agreement Jurisdiction Court
If there is a need for litigation between the user and Human Academy, the Tokyo District Court will be the exclusive agreement jurisdiction court of jurisdiction between the user and Human Academy.

Article 36: Language
These terms and conditions were created in the Japanese language, and the Japanese version is the original copy. Translated versions created in English or other languages (including but not limited to documents that contain part or all of these terms and conditions, translated) are for reference only. If there is any inconsistencies in their content, the Japanese version shall take precedence.

Article 37: Governing Law
The governing law for these terms and conditions shall be Japanese law.

●Course Content
1. Course Number @ - K
Online lessons using e-learning, or the app.
The course period is, after application, 1 year from when the user is issued an ID and password necessary for courses from Human Academy. The issued ID and password (including the changed password, if the user has voluntarily changed their password) shall continue to be valid for 10 months from the day after the final course date for e-learning, and 4 months from the day after the final course date for the conversation app. Users can review the courses they have taken within the corresponding period.
2. Course Number J
This is a group online lesson. Users are entitled to choose the number of lessons per month from 4 lessons (Once a week), 8 lessons (Twice a week), 12 lessons (Thrice a week), 16 lessons (4 times a week), 20 lessons (5 times a week) in Human Academy’s dedicated online group lessons. Each lesson is 90-minute long. After a lesson, users can freely use the online class for 90 minutes of self-study.
The course period is, after application, 1 month from when the user is issued an ID and password necessary for courses from Human Academy. The user can transfer to a different class a maximum of 2 times a month if the user is unable to attend their assigned class lesson.
3. Course Number K
This is a class online lesson. Users can take 48 lessons (180 minutes/ Lesson) in Human Academy’s dedicated online class lessons. The course period is, after application, 3 months from when the user is issued an ID and password necessary for courses from Human Academy.

Note: Once the teaching materials have been shipped, returns will not be accepted, except for defective items such as missing and incorrect pages.
Note: Course number J may differ, depending on the attended class.

●Payment Method
1. The payment method for course fees and teaching materials is as follows.
  - Application through the application form: can be paid in cash, or by bank transfer.
  - Application through the internet except for Course number K: can be paid by bank transfer, or PayPal credit card payment.
  - Application through the internet for Course number K : can be paid by bank transfer, PayPal credit card payment, or can be allotted from the previously paid tuition.
2. Cash payments must be made to Human Academy’s executive office between the time when this contract is established, and the day before the course start date.
3. Please make the bank transfer payment within 7 business days after the application to Human Academy’s specified bank account. Bank transfer fees will be borne by the user.
4. As for Course number K, in order for the users to have their previously paid tuition allotted, the users must meet all of the following 4 conditions. Only then, Human Academy will allot the tuition received by the users (hereafter “tuition”) amounted to 25,000 yen (consumption tax excl.) as 1-month tuition for Course number K by the day before the course start date.
  From the next month on, Human Academy will allot the tuition in the same manner by confirming first that the user agree to continue taking, and thus to have their tuition allotted for the said course before a month passes from the original course start date. If the user request to continue taking the course, but change the payment method to Bank transfer, the user must complete the bank transfer to the bank account designated by Human Academy before a month passes from the original course start date. In case the user request to change the payment method to PayPal credit card payment, complete the payment before a month passes from the original course start date. If there is a case where the users do not request to continue taking the course, the contract will be considered cancelled on the date a month passes from the original course start date.

  @ If the user was registered for the April 2020 enrollment, but having difficulties entering Japan due to the spread of COVID-19, and thus kept waiting.
  A If the user has already completed the payment to Human Academy.
  B If the user is taking Course number K.
  C If the user agrees to cover the shortage of future tuition at Human Academy which resulted from allotting part of the tuition to Course number K.
  (e.g.) The course start date: 1st, July, 2020
  * Complete payment of 25,000 yen (consumption tax excl.) by June 30th, as the tuition for the period of July 1st ? July 31st
  * Complete payment of 25,000 yen (consumption tax excl.) by July 31st, as the tuition for the period of August 1st ? August 31st
  * Complete payment of 25,000 yen (consumption tax excl.) by August 31st, as the tuition for the period of September 1st ? September 30th
5. In regards to Course number K, Human Academy will not charge an amount that exceeds
  1-month tuition fee (25,000 yen (consumption tax excl.)) through “Bank transfer”, “PayPal credit card payment” or “tuition allotment” under any circumstances. If in any case the amount exceeds, Human Academy will make a refund to the user by following the designated procedure.
